You agree not to use the Service for any unlawful purpose or in any way that violates local, state, national, or international laws. Prohibited uses include but are not limited to:

• Criminal activities
• Malicious, fraudulent, or illegal purposes
• Infringement of Voxii or third party intellectual property rights
• Defamatory, harassing, abusive, or threatening use
• Distribution of unauthorised spam
• Transmission of viruses, malware, or other destructive code
• Gathering or transmitting personal information without consent
• Interference with service functionality or security features
• Any activity that could disable, overburden, or impair the proper functioning of the Service

If you use our Service for any telecommunications activities, including but not limited to voice calls, automated calling, or telemarketing, you are solely responsible for:

• Compliance with all applicable telecommunications laws and regulations, including the TCPA, CAN-SPAM Act, and similar laws
• Maintaining and honouring Do Not Call (DNC) registry requirements
• Obtaining all required consents and providing proper disclosures for recording calls
• Ensuring compliance with all local, state, federal, and international telecommunications regulations

You acknowledge that violations of telecommunications laws can result in significant penalties and agree to indemnify the Company for any claims, fines, or damages arising from your use of the Service.

By opting into our SMS/text messaging program, you agree to receive recurring automated promotional and personalized marketing text messages from Voxii at the cell phone number you provided. Consent is not a condition of any purchase.

• Frequency: Message frequency varies.
• Cost: Message and data rates may apply.
• Carriers: Carriers are not liable for delayed or undelivered messages.
• Opt-Out: You can cancel the SMS service at any time by texting "STOP" to the short code. After you send "STOP", we will send a confirmation and you will no longer receive messages from us.
• Help: If you are experiencing issues, reply with the keyword "HELP" for assistance, or contact us at support@Voxii.ai.

The Service may record voice calls and conversations. Unless you explicitly opt out through your account settings, we may:

• Record calls made through our Service
• Use de-identified call data to improve our AI models and Service functionality
• Analyse conversation patterns and performance metrics

You remain solely responsible for obtaining all required consents from call participants before recording, providing proper legal disclosures about recording activities, and compliance with all applicable privacy and recording laws in your jurisdiction.

You retain ownership of any content, data, or information you input into the Service ("User Content"). However:

• AI-Generated Content: All outputs, responses, and content generated by our AI models ("AI Content") remain the property of the Company. You receive a non-exclusive, non-transferable license to use AI Content solely for your intended business purposes.
• Restrictions: You may not use AI Content to train competing AI models or services, reverse engineer our AI technology, or create derivative AI models or competing services.

By using the Service, you grant us the right to use de-identified data from your interactions to improve our AI models.

You agree not to upload, post, host, or transmit any Content that:

• Is unlawful, harassing, defamatory, abusive, threatening, harmful, or obscene
• Encourages criminal conduct or provides instructional information about illegal activities
• Infringes any third party's intellectual property or publicity rights
• Constitutes unauthorised spam or bulk communications
• Contains software viruses or malware designed to interrupt, destroy, or limit Service functionality
• Attempts to gain unauthorised access to other accounts, computer systems, or networks
• Impersonates any person or entity or otherwise misrepresents your affiliation

The Company reserves the right to determine whether any Content complies with these Terms and to refuse or remove Content that does not comply. Repeated violations may lead to account termination.

We respect the intellectual property rights of others. If You are a copyright owner and believe that copyrighted work has been copied in a way that constitutes copyright infringement through the Service, You must submit Your notice in writing to our copyright agent via email at support@Voxii.ai.

A valid DMCA notification must include:

• An electronic or physical signature of the person authorised to act on behalf of the copyright owner
• A description of the copyrighted work that You claim has been infringed
• Identification of the URL or specific location on the Service where the infringing material is located
• Your address, telephone number, and email address
• A statement that You have a good faith belief that the disputed use is not authorised by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the above information in Your notice is accurate

By subscribing to any paid plan, You acknowledge and agree to the following:

• Automatic Renewal: All subscriptions automatically renew at the end of each billing cycle unless You cancel before the renewal date. By subscribing, You expressly authorise Voxii to charge Your designated payment method on a recurring basis.
• Cancellation Deadline: You must cancel Your subscription at least 24 hours before the next billing date to avoid being charged for the upcoming billing cycle.
• Your Responsibility to Cancel: It is solely Your responsibility to manage Your subscription and cancel before any trial period ends or before the next billing cycle begins.
• Price Changes: Price changes will be communicated with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
• Payment Authorisation: By providing a payment method, You represent and warrant that You are authorised to use that payment method and that You authorise Voxii to charge it for all fees incurred.

AI Agent Plans

AI Agent plans include a 30-day money-back guarantee from the date of initial purchase. If You are not satisfied with the Service, You may request a full refund within 30 days of Your first payment by contacting support@Voxii.ai. After the 30-day money-back guarantee period has expired, all charges are final and non-refundable.

Agency and Studio Plans

Agency and Studio plans include a 7-day free trial period. During the trial, You will not be charged. At the end of the 7-day trial period, Your subscription will automatically convert to a paid subscription unless You cancel before the trial period ends. Once the trial period ends and Your payment method has been charged, the charge is final and non-refundable.

General Refund Terms

Except as expressly stated above, all fees and charges are non-refundable. No refunds will be issued for partial billing periods, unused time, unused features, or renewals that occur after a free trial converts to a paid subscription. Downgrading Your plan does not entitle You to a refund of the difference.

If You initiate a chargeback or payment dispute with Your bank instead of contacting Voxii directly, Voxii reserves the right to immediately suspend or terminate Your account and pursue recovery of the disputed amount.

To the maximum extent permitted by law:

The Service is provided "AS IS" and "AS AVAILABLE" without any warranties. We specifically disclaim responsibility for:

• Service interruptions, call failures, or technical malfunctions
• Data loss, corruption, or security breaches
• Compliance with telecommunications or privacy laws
• Accuracy or reliability of AI-generated content
• Business losses due to Service unavailability

Our total liability to you shall not exceed the amount you paid for the Service in the 12 months preceding the claim, or $100 if you haven't paid anything.

The laws of Australia, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service.

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

• No Class Actions: You agree that disputes must be resolved on an individual basis. You waive any right to participate in class action lawsuits or class-wide arbitration.
• Jury Waiver: You waive your right to a jury trial for any disputes related to these Terms or the Service.
• Jurisdiction: These Terms shall be governed and construed in accordance with the laws of Victoria, Australia. Any legal proceedings must be brought exclusively in the courts located in Melbourne, Victoria.
• Informal Resolution: Before initiating formal proceedings, you agree to first attempt informal resolution by contacting us at support@Voxii.ai.

EU Users: If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident in.

United States Legal Compliance: You represent and warrant that You are not located in a country that is subject to the United States government embargo, and You are not listed on any United States government list of prohibited or restricted parties.
